1. Scope and Definitions
These Terms of Service ("Terms") govern the use of the website and services provided by Tippel.ai, represented by Lukas Friedrich, Kampweg 4, 34369 Hofgeismar, Germany ("Provider", "we", "us").
"User" or "you" refers to any natural or legal person accessing our website or using our services. "Services" refers to AI development, software architecture, consulting, and related technical services offered through our website.
2. Conclusion of Contract
The presentation of services on our website constitutes a non-binding invitation to submit an offer. A contract is only formed upon written confirmation from us or upon commencement of service delivery. Individual project terms shall be agreed upon in separate Statements of Work (SOW) or project agreements that supplement these general terms.
3. Scope of Services
We provide AI development, machine learning solutions, software architecture consulting, and related technical services. The specific scope, deliverables, timelines, and acceptance criteria shall be defined in individual project agreements. Unless otherwise agreed, we provide services on a time-and-materials or fixed-price basis as specified in the respective quote.
All specifications, prototypes, and documentation are provided as-is. We reserve the right to change or discontinue any service feature without prior notice, provided such changes do not affect existing contractual obligations.
4. User Obligations
You agree to provide accurate and complete information when contacting us or engaging our services. You are responsible for maintaining the confidentiality of any access credentials provided and for all activities that occur under your account.
You warrant that you have the right to use any data, materials, or intellectual property provided to us for the purpose of service delivery, and that such use does not infringe third-party rights. You agree to indemnify and hold us harmless from any claims arising from your breach of this warranty.
5. Intellectual Property
Unless expressly agreed otherwise in writing, we retain all intellectual property rights in pre-existing materials, methodologies, and general know-how used in delivering services. Custom deliverables specifically created for you shall be transferred upon full payment, subject to our retention of rights to use general concepts, techniques, and non-proprietary code developed during the project.
Open source components used in deliverables are subject to their respective license terms. You agree to comply with all third-party licenses applicable to delivered software.
6. Remuneration and Payment
Prices are quoted in Euros (EUR) unless otherwise specified. Unless otherwise agreed, we invoice 50% upfront and 50% upon project completion or according to agreed milestones. Payment is due within 14 days of invoice date.
Late payments incur interest at the statutory rate (currently 9 percentage points above the base rate pursuant to § 288 BGB). We reserve the right to suspend services for overdue accounts after written notice.
7. Limitation of Liability
We are liable without limitation for intent and gross negligence, for injury to life, body or health, and under the Product Liability Act. For slight negligence, we are liable only for breach of material contractual obligations (cardinal obligations), limited to the foreseeable, contractually typical damage.
Liability for loss of data is limited to the typical restoration costs that would have been incurred with proper backup procedures. We are not liable for force majeure events, third-party services, or damages resulting from your misuse or unauthorized modifications of deliverables.
8. Confidentiality and Data Protection
Both parties agree to treat as confidential all non-public information disclosed during the business relationship. We process personal data in accordance with our Privacy Policy and applicable data protection laws, including GDPR.
For AI development projects involving personal data, we implement appropriate technical and organizational measures (TOMs) and conclude Data Processing Agreements (DPAs) where required by Article 28 GDPR.
9. Term and Termination
Project-based services terminate upon completion and acceptance of deliverables. Either party may terminate for good cause with immediate effect. Upon termination, you shall pay for all services rendered up to the termination date.
10. Governing Law and Jurisdiction
These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction is Kassel, Germany, if the User is a merchant, legal entity under public law, or special asset under public law.
11. Changes to Terms
We reserve the right to modify these Terms at any time. The current version published on our website at the time of contract conclusion shall apply. Continued use of our services after changes constitutes acceptance of the modified Terms.
